This License Agreement ("Agreement") is made between ZPlatz, Inc. ("Licensor") and the user ("Licensee"). By using the ZPlatz platform, Licensee agrees to the terms and conditions outlined in this Agreement. If Licensee does not agree to these terms, they must cease using the platform immediately.
Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the ZPlatz platform for creating and sharing 3D virtual tours as outlined in this Agreement.
Licensee agrees to the following restrictions:
No Unlawful Use: The platform must not be used for any illegal activities.
No Misrepresentation: Licensee must not misrepresent any property or object featured in the virtual tours.
No Redistribution: Licensee must not redistribute or sublicense the platform or its generated content without explicit written permission from Licensor.
No Modification: Licensee must not modify, adapt, or hack the platform or attempt to gain unauthorized access to the platform or its related systems or networks.
All intellectual property rights in the platform, including but not limited to software, algorithms, and visual designs, are owned by Licensor. Licensee does not acquire any ownership rights to the platform or any of its components.
4. User ContentLicensee retains ownership of all content they create using the platform. However, by creating content, Licensee grants Licensor a worldwide, royalty-free, non-exclusive license to use, reproduce, and display the content for marketing, promotional, and demonstration purposes.5. TerminationLicensor may terminate this Agreement at any time if Licensee breaches any term of this Agreement. Upon termination, Licensee must cease all use of the platform and destroy any copies of related software in their possession.6. Disclaimer of WarrantiesThe platform is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not warrant that the platform will be uninterrupted or error-free.7. Limitation of LiabilityIn no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of or inability to use the platform, even if Licensor has been advised of the possibility of such damages. Licensor's total liability for any claim arising out of or relating to this Agreement shall not exceed the amount paid by Licensee for using the platform in the 12 months preceding the claim.8. Governing LawThis Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is located, without regard to its conflict of law principles.9. AmendmentsLicensor reserves the right to amend this Agreement at any time. Any amendments will be effective upon posting on Licensor's website or notification to Licensee. Continued use of the platform following such amendments constitutes acceptance of the new terms.10. Entire AgreementThis Agreement constitutes the entire agreement between Licensor and Licensee regarding the use of the platform and supersedes all prior agreements and understandings, whether written or oral, relating to its subject matter.By using the ZPlatz platform, Licensee acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
